1. Acceptance of Terms

Welcome to GOLAX. By accessing or using our website (golaxindia.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and GOLAX Technologies ("Company," "we," "our," or "us").

3. User Responsibilities

By using our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations
• Respect intellectual property rights

4. Project Engagement

4.1 Proposals and Quotations

All proposals and quotations are valid for 30 days from the date of issue unless otherwise specified. Project scope, timelines, and costs are subject to change based on detailed requirements analysis.

4.2 Project Commencement

Projects commence upon receipt of the agreed advance payment and signed project agreement. Client cooperation and timely provision of required materials are essential for project success.

4.3 Changes and Modifications

Any changes to the agreed scope of work may result in additional charges and timeline adjustments. Change requests must be submitted in writing and approved by both parties.

5. Payment Terms

• Payment terms are specified in individual project agreements
• Standard payment structure: 50% advance, 50% upon completion (may vary by project)
• All payments are to be made in Indian Rupees (INR) unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes (GST)

6. Intellectual Property Rights

6.1 Client Ownership

Upon full payment, clients receive ownership of custom deliverables created specifically for their project, excluding any pre-existing materials, frameworks, or proprietary tools.

6.2 GOLAX Rights

GOLAX retains ownership of all proprietary tools, methodologies, frameworks, and general knowledge developed during project execution. We reserve the right to use non-confidential project aspects for portfolio and marketing purposes.

6.3 Third-Party Materials

Projects may incorporate third-party software, libraries, or assets, which are subject to their respective licenses. Clients are responsible for maintaining compliance with such licenses.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the business relationship. Confidential information does not include publicly available information or information independently developed by either party.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. For development projects, we provide a 30-day warranty period for bug fixes after project delivery.

8.2 Disclaimer

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

10. Termination

Either party may terminate the engagement with 30 days written notice. In case of termination:

• Client shall pay for all work completed up to the termination date
• GOLAX shall deliver all completed work and materials
• Non-refundable deposits remain with GOLAX
• Confidentiality obligations continue to apply

11. Indemnification

You agree to indemnify and hold harmless GOLAX, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Parties agree to attempt good-faith negotiations before pursuing legal action.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, or widespread internet outages.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
